Modern Slavery Statement

This statement is made by Calabrio, Inc. (“Calabrio”) pursuant to section 54(1) of the Modern Slavery Act 2015 of the United Kingdom and section 13 of the Modern Slavery Act 2018 of Australia (the “Modern Slavery Acts”), and sets out the actions taken by Calabrio and its consolidated subsidiaries (the “Calabrio Group”) during the financial year ending 31 December 2024 to prevent modern slavery and human trafficking in our operations and supply chain. Although all of the Calabrio Group companies are not subject to the Modern Slavery Acts, Calabrio has undergone a group-wide approach to addressing modern slavery risks, as the Calabrio Group companies operate in the same sector, have many shared suppliers, and use the same policies and processes identified in this statement. This statement is a joint statement made by Calabrio on behalf of itself and all Calabrio Group companies.

Organization Structure, Business and Supply Chain

Calabrio is headquartered in Minnesota, USA and provides workforce engagement management software and related services to contact centers. The Calabrio Group has over 700 personnel globally and operates throughout the Americas, EMEA, and APAC, serving customers in a diverse array of sectors and markets around the world. Our main suppliers operate in the software and technology sector. While Calabrio and our main suppliers operate in a sector with a relatively low risk of modern slavery and human trafficking, we are committed to operating with integrity and working to prevent these practices throughout our organization and in our supply chain.

Policies

Calabrio expects its employees, partners, and suppliers to operate ethically and in compliance with relevant laws, including employment laws, anti-corruption laws, and any other laws regulating how people work. We have implemented policies, processes, and contractual requirements underpinning our commitment to prevent modern slavery and human trafficking in our business and supply chain. Relevant provisions are included in, for example, our Global Employment Guide (which sets out our code of conduct and whistleblower policy) and our supplier contracts.

Due Diligence

Calabrio employs a technically skilled, professional labor force, the majority of which is obtained without labor brokers or other third parties. To support operations in certain regions, Calabrio partners with a trusted and reputable third party to obtain technically skilled, professional workers. This third party was vetted carefully prior to engagement by Calabrio and remains under continuous review.

Calabrio sells software and services, and our supply chain does not involve the procurement of large quantities of physical goods. Accordingly, the nature of our business reduces the likelihood of modern slavery or human trafficking occurring in our operations or supply chain. Notwithstanding our lower risk profile, we monitor for modern slavery and human trafficking risks, including by having systems in place to protect whistleblowers and by carrying out a due diligence process for prospective suppliers.

We review a prospective supplier’s reputation and background and conduct a risk-based assessment of both the location of the supplier and the proposed scope of work. We also require our partners and suppliers to accept obligations to comply with applicable laws and regulations. Suppliers that pose potentially higher risks are subject to more detailed risk assessments and additional oversight, if necessary, to help ensure compliance with our internal controls and applicable law.

Calabrio continues to review and assess the effectiveness of our due diligence processes.

Training

To ensure our employees understand the risks of modern slavery and human trafficking in our business and supply chain, we provide training to our employees through online courses. All employees are required to complete training on our code of conduct as part of their onboarding and annually thereafter.

The content of this statement has been reviewed by senior management of the Calabrio Group companies in consultation with Calabrio.
